Pegasystems Inc. (NASDAQ: PEGA) Draws Law Firm Investigation Following Q2 Earnings Miss

Pegasystems Inc. (NASDAQ: PEGA) is an enterprise software company that provides artificial intelligence, customer engagement, and workflow automation solutions. Its products help large organizations improve customer interactions, automate business processes, and manage mission-critical operations.

Pomerantz LLP recently announced that it is investigating potential claims on behalf of Pegasystems investors. According to the law firm, the inquiry concerns whether Pegasystems or certain executives may have engaged in securities fraud or other unlawful business practices. The inquiry followed Pegasystems’ second-quarter 2026 results. The company reported non-GAAP diluted earnings of $0.35 per share, below the approximately $0.43 analysts expected. Revenue reached $420.7 million, slightly below the roughly $427.4 million forecast but up 9% from $384.5 million in the same quarter of 2025. GAAP diluted earnings were $0.08 per share, compared with $0.17 a year earlier. 

Pegasystems also reported that total Annual Contract Value grew 7% year over year to approximately $1.62 billion, or 8% on a constant-currency basis. This represented a slowdown from the 16% reported growth recorded one year earlier. Nevertheless, Pega Cloud ACV increased 22% to approximately $926.3 million.

ACV represents the annualized value of the company’s active contracts as of the measurement date. It is calculated by dividing each contract’s total value by its duration in years. Pegasystems said rapid changes in the AI market caused some clients to delay purchasing decisions, significantly slowing ACV growth during the first half of 2026. The company warned that these conditions could continue affecting ACV growth and cash-flow generation during the remainder of the year.

Following the earnings release, PEGA shares fell $4.95, or 16%, to close at $25.99 on July 22, 2026. The decline reflected concerns surrounding the earnings miss and slower total ACV growth, even as the company reported strong Pega Cloud expansion and record first-half free cash flow of approximately $288.3 million.

Separately, Chief Product Officer Rifat Kerim Akgonul sold a combined 3,000 shares on August 25, 2026. The transactions included 1,700 shares sold at an average price of approximately $33.98 and another 1,300 shares sold at $34.00. 

As of August 27, 2026, PEGA traded at approximately $35.88, representing a substantial recovery from its 52-week low of $25.10 but remaining well below its 52-week high of $68.10. At that price, Pegasystems had a market capitalization of approximately $6.16 billion.
